This Independent Contractor Agreement ("Agreement") governs your participation in the TradepilotUSA Contractor Network operated by Doorplace USA. By accessing the Contractor Dashboard or accepting any job lead through TradepilotUSA, you agree to be legally bound by the terms below.
You are engaged by Doorplace USA as an independent contractor, not as an employee, agent, partner, or joint venturer. Nothing in this Agreement shall be construed to create an employment relationship of any kind.
As an independent contractor, you retain full control over how, when, and where you perform your services, subject only to the agreed-upon project scope and delivery requirements.
You are not entitled to employee benefits including, but not limited to: health insurance, workers' compensation, retirement plans, paid time off, or unemployment insurance through Doorplace USA.
You are solely responsible for all federal, state, and local taxes on any income you earn from customers through work arranged via TradepilotUSA, including self-employment taxes. Because Doorplace USA does not pay you for jobs (see Section 5), Doorplace USA will not issue a Form 1099 to you for job income — any tax reporting obligations for that income are between you and the paying customer.
Doorplace USA will not withhold income taxes or remit tax payments on your behalf for any amount. You agree to provide a valid W-9 or equivalent tax documentation upon request if required for platform recordkeeping.
You are responsible for providing your own tools, equipment, transportation, materials, and any other resources necessary to complete your work.
All business expenses incurred in the performance of services are your sole responsibility unless expressly agreed otherwise in writing by Doorplace USA.
You represent and warrant that you hold all licenses, certifications, and permits required by applicable federal, state, and local law to perform the services you have agreed to provide.
You agree to maintain adequate general liability insurance and, where required, workers' compensation insurance throughout the term of this Agreement. Proof of insurance may be requested by Doorplace USA at any time.
You assume full liability for any injuries, property damage, or losses arising from your work. Doorplace USA is not responsible for accidents, injuries, or damages that occur during or after the performance of your services.
Doorplace USA operates TradepilotUSA as a lead marketplace, not an employer, and does not pay contractors for jobs or projects. Doorplace USA is not a party to, and does not process, guarantee, withhold, or collect any payment for the work you perform — you are compensated directly by the end customer, on terms you arrange with that customer.
Instead, TradepilotUSA charges a lead fee for each matched lead you accept, which is deducted from your free lead credits (where available) or your platform wallet balance at the time of acceptance. Lead pricing is displayed before you accept a lead. Accepting a lead is a commitment to pursue that opportunity; it is not a guarantee of the job, its value, or that the customer will proceed.
There is no base pay, salary, or guaranteed minimum earnings under this Agreement. Doorplace USA does not guarantee any volume, frequency, or value of leads.
Leads are provided through the TradepilotUSA platform at Doorplace USA's discretion. You may accept or decline any offered lead. Accepting a lead constitutes a binding commitment to complete the work within the agreed scope and timeline.
You agree to perform all work in a professional, workmanlike manner consistent with industry standards. Repeated failure to meet quality standards or fulfill accepted jobs may result in suspension or termination from the network.
During the term of this Agreement and for a period of twelve (12) monthsfollowing termination, you agree not to directly solicit any customer introduced to you through the Doorplace USA / TradepilotUSA network for services outside of projects arranged through the platform.
You agree to keep confidential all proprietary business information, pricing structures, customer data, lead details, platform data, and internal processes shared with you through TradepilotUSA. This obligation survives the termination of this Agreement.
Doorplace USA may, at its discretion, require a background check as a condition of participation. You agree to conduct yourself professionally in all interactions with customers, Doorplace USA staff, and the public while performing services connected to this Agreement.
You agree not to misrepresent your affiliation with Doorplace USA. You are an independent contractor and may not represent yourself as an employee, officer, or agent of Doorplace USA.
Either party may terminate this Agreement at any time with or without cause by providing written notice. Doorplace USA may immediately suspend or revoke platform access for violations of this Agreement, misconduct, license issues, or repeated failure to fulfill accepted jobs.
Upon termination, you must immediately cease using any Doorplace USA branding, materials, or platform access.
Doorplace USA collects and uses your information solely for platform access, job matching, payment processing, and business operations. Your information is not sold to third parties.
By using TradepilotUSA, you consent to the collection and use of your data as described in Doorplace USA's Privacy Policy.
By joining the TradepilotUSA Contractor Network, you agree that your business name, city/state, and service categories may be published in the public TradepilotUSA Community business directory (tradepilotusa.com/community), so that homeowners can discover your business through search.
Your directory listing will never include your phone number, street address, or license/insurance details unless you choose to add them yourself. You can claim your listing at any time from your Contractor Dashboard to add your own description, contact preferences, and photos, or to request its removal.
Doorplace USA reserves the right to update or modify this Agreement at any time. Continued use of the TradepilotUSA platform following notice of changes constitutes acceptance of the revised terms.
This Agreement shall be governed by and construed in accordance with the laws of the State of Texas, without regard to its conflict of law provisions. Any disputes arising under this Agreement shall be resolved in the courts of Tarrant County, Texas.
